Mergers & Acquisitions
1. Represented Hosie Wes Sacks & Brelsford in its merger with Perkins Coie
(Effective October 1, 1998)
Hosie Wes, with offices in Menlo Park, San Francisco and Anchorage, Alaska specializes in internet, media and corporate finance law. Its high technology clients include Yahoo, Quicken, Financial Network and SRI Consulting. The seventeen lawyer firm, was considered one of the top boutiques in Northern California and was founded five years ago by lawyers who left Heller, Ehrman, White & McAuliffe and Brobeck, Phleger & Harrison. They include Spenser Hosie (J.D. Davis 1981, Order of the Coif; Editor Law Review); Edward J. Wes (J.D. Boalt 1977, Articles Editor, California Law Review); Steven B. Sacks (J.D. Davis 1980, Order of the Coif) and James F. Brelsford (J.D. Davis 1980, Order of the Coif). Mr. Brelsford, who has become Perkins Coie's Northern California managing partner said, "Like many of our client start-ups, we formulated a plan to be so well-positioned that we would be a highly desirable merger candidate." Robert Giles, Perkins Coie's managing partner said Hosie Wes is "an extraordinary fit" with his firm citing synergy among both firms and clients such as: Amazon.com; InfoSpace.com; and Real Networks.

2. Facilitated the merger of Layman, Jones & Dye with Bryan Cave
The merger gave Bryan Cave, a 400-lawyer St. Louis based international law firm greater transactional strength in California. Layman, Jones, a prominent Orange County business firm, gained greater client entree and added support for its strategic growth objectives. Steven Sunshine, former Layman, Jones managing partner (our focal point with the firm) was elected managing partner of Bryan Cave's California offices, numbering approximately 85 attorneys. 3. Represented Petillon & Davidoff on its merger with Gipson, Hoffman & Pancione
Lee R. Petillon (Boalt Hall LL.B. 1959) and Brian L. Davidoff (University of Witwatersrand, South Africa; University of Miami, LL.M.) moved their bankruptcy and high tech boutique to Gipson, Hoffman & Pancione. (See Letter)

4. Represented King, Weiser, Bazar & Jacobs in its merger with Van Etten, Suzumoto & Haag
King, Weiser, a transactional firm specializing in general corporate, business and real estate had its name on the door for 30 years, concluded that the complimentary litigation and business practice of Van Etten made long term strategic and financial sense.

5. Represented Bottom & Feliton in its merger with Lewis, Brisbois, Bisgaard & Smith
Bottom & Feliton, a 15 lawyer firm founded in 1981 and specializing in insurance defense, coverage and bad faith brought a practice to Lewis, Brisbois.

The challenging economic climate has in the last three years significantly impacted partner movement. Few, if any legal search firms have successfully handled as many partners in as many different practice areas throughout California as Esquire. In the last two and a half years alone we have handled the moves of 29 partners, including several high profile rainmakers. Most have been profiled in the Daily Journal. The following are those we can disclose.

1. Represented Mark P. Wine as a partner to Orrick, Herrington & Sutcliffe.
 

2. Represented Edwin V. Woodsome, Jr. and D. Barclay Edmundson as partners and several associates to Orrick, Herrington & Sutcliffe.
Mr. Woodsome (J.D. Harvard 1971, Managing Editor, Harvard Law Review) who has developed an international reputation in complex business litigation, environmental and labor matters was a senior litigation partner and established rainmaker at Howrey, Simon, Arnold & White. Previous to their seven years at Howrey, he and Mr. Edmundson (J.D. UCLA 1979, Order of the Coif) spent their careers at Munger Tolles & Olson. Mr. Woodsome has been consistently included in the Daily Journal’s Annual Rainmaker ranking and upon his move was reported in the Daily Journal as bringing a book estimated at $5M-$10M.

3. Represented Richard P. Crane, Jr. and Dennis M. P. Ehling as partners and several associates to Kirkpatrick & Lockhart.
Mr. Crane (J.D. Vanderbilt University 1964) formerly a senior trial lawyer in the U.S. Justice Department and who managed more than 50 Justice Department litigators, specializes in complex business litigation, intellectual property and white-collar crime. Mr. Crane, formerly a senior partner with Musick, Peeler & Garrett, brought a multi-million dollar practice.  Mr. Ehling (J.D. Notre Dame 1993, cum laude) also specializes in complex business litigation and intellectual property.

4. Represented Robert Schulman as a partner to Fulbright & Jaworski.
Mr. Schulman (J.D. Rutgers School of Law 1966) was a nine year Executive Committee member and top revenue producer at Crosby, Heafey, Roach & May. Mr. Schulman specializes in commercial litigation, insurance and reinsurance. Daily Journal selected Mr. Schulman for its annual Rainmaker $5M edition in 2002.

5. Represented labor partners Lee T. Paterson and Laura Petroff and five associates to Winston & Strawn.
Mr. Paterson (UCLA J.D. 1967) formerly national labor chair of Sonnenschein, Nath & Rosenthal, brought a $4M practice and heads up Winston & Strawn’s West Coast labor practice. Ms. Petroff (Vanderbilt J.D. 1980) was elected to the firm-wide executive committee and selected as managing partner of the firm’s Los Angeles office.

6. Represented Robert Lyon and Richard Lyon as partners to Holland & Knight.
Robert (J.D. USC 1963, B.S.E.E. USC 1960) and Richard (J.D. University of Utah 1969, B.S. Stanford 1966). The two nationally prominent partners, third and fourth generation Lyons who were labeled "the pillars" at Lyon & Lyon brought more than 70 cumulative years of experience and relationships. The two are playing leadership roles in expanding Holland & Knight’s I.P. practice on the West Coast. (See Letter).

7. Represented Douglas Dexter as a partner to Farella, Braun & Martel.
Mr. Dexter (J.D. University of San Diego 1984) one of the top labor partners in Northern California was formerly a partner at O’Melveny & Myers specializing in labor and employment. Mr. Dexter chairs the labor practice at Farella, Braun.

8. Represented William E. Thomson, Jr. as a partner to Hogan & Hartson.
Mr. Thomson (J.D. Georgetown University 1963), a prominent patent litigator specializing in the biotech arena, formerly chaired the I.P. practice in the Los Angeles office of McCutchen, Doyle, Brown & Enersen (now called Bingham, McCutchen).

9. Represented Albert M. Cohen as a partner to Arnold & Porter .
Mr. Cohen (Harvard School of Public Health - M.P.H., 1982, Boston University - J.D. 1977) was previously Of Counsel to Irell & Manella and formerly with the U.S. Department of Justice, Environmental Enforcement Section. Mr. Cohen joined the firm as a partner and at one time chaired the firm's Environmental Practice Group in Los Angeles.

10. Represented Joseph Stubbs as a partner to Heller, Ehrman, White & McAuliffe .
Mr. Stubbs (University of Missouri at Kansas City J.D. 1975) was formerly a corporate partner with Hufstedler, Miller, Carlson & Beardsley. Mr. Stubbs helped build the corporate and securities practice in Heller, Ehrman's Los Angeles office and served as managing partner in 1993-1994.

11. Represented Neal R. Marder as a partner to Winston & Strawn in Los Angeles.
Mr. Marder (Loyola J.D. 1986) was formerly a litigation partner with Sonnenschein, Nath & Rosenthal. Mr. Marder specializes in complex business, intellectual property, insurance and labor.

12. Represented Arthur Travieso as a partner and seven lawyer group to Lewis, Brisbois, Bisgaard & Smith in Orange County.
Mr. Travieso (J.D. Western State University 1991) specializes in insurance professional liability and brought between a $3M-$3.5M practice.

13. Represented David P. Schack as a partner to the Los Angeles office of Kirkpatrick & Lockhart.
Mr. Schack (UCLA J.D. 1982) formerly coverage chair for Mitchell, Silberberg & Knupp, heads up Kirkpatrick & Lockhart’s coverage practice on the West Coast. (See Letter)

14. Represented Diana Scott as a partner to Greenberg Traurig.
Ms. Scott (McGeorge J.D. 1978) formerly the labor chair of a Los Angeles firm with offices in Santa Monica and Los Angeles chairs Greenberg Traurig’s labor practice in Santa Monica. ( See Letter )

15. Represented Jonathan R. Hodes, corporate partner to Pillsbury, Winthrop.
Mr. Hodes (Rutgers 1969) a specialist in general corporate, securities, M&A and technology, formerly chaired the corporate practice in the Los Angeles office of a national firm.

16. Represented Tom Curtiss, Jr. as a partner and group to Rodi, Pollock, Pettker, Galbraith & Cahill.
Mr. Curtiss, (J.D. Harvard 1970, B.A. Yale 1963) particularly well known in trusts & estates circles in Southern California co-chairs the trusts practice at Rodi, Pollock.

17. Represented Kathleen Johnson as a partner to Nixon, Peabody as a partner.
Ms. Johnson (J.D. New York Law School 1981) formerly senior counsel at Heller, Ehrman, White & McAuliffe is a well known trusts and estates lawyers in Northern California. She chairs the trusts and estates practice at Nixon, Peabody (San Francisco office).

18. Represented Russell Frandsen as a partner to Squire, Sanders & Dempsey.
Mr. Frandsen (J.D. Duke 1976) specializes in general corporate, securities, merger and acquisition and technology. Mr. Frandsen, formerly a name partner of Radcliff, Frandsen, where he chaired the firm’s corporate practice has developed a particular niche in venture capital, emerging growth companies, technology licensing and related.

19. Represented Joel Goldman as a partner to Russ, August & Kabat.
Mr. Goldman (J.D. USC 1967) an experienced trial lawyer (100+ trials) was formerly a senior partner at McKenna & Cuneo now called McKenna, Long & Aldridge. Five years previously he sought Esquire representation that resulted in his placement at McKenna. ( See Letter )

20. Represented Dorie Choderker as a partner to Russ, August & Kabat.
Ms. Choderker (J.D. University of West Los Angeles 1983) has 17 years intellectual property experience. Ms. Choderker was formerly a partner at Oppenheimer, Wolff & Donnelly. She spent several years previous with Loeb & Loeb.

21. Represented Matthew Smith as a partner to Jackson, Lewis, Schnitzler & Krupman.
Mr. Smith (J.D. U.S.C. 1993) was formerly a partner at Crosby, Heafey, Roach & May specializing in labor, employment litigation and counseling.

22. Represented Mark Jubelt as a partner and three associates to Oppenheimer, Wolff & Donnelly.
Mr. Jubelt (J.D. UC Davis 1987) has developed a strong reputation in the insurance coverage arena and formerly spearheaded Oppenheimer's coverage department in California.

23. Represented Greg Goonan as a partner to Musick, Peeler & Garrett in San Diego.
Mr. Goonan (J.D. Loyola 1985) formerly a name partner at Barnhorst Schreiner & Goonan specializes in the intellectual property area with more than 16 years experience. Mr. Goonan heads Musick, Peeler’s intellectual property practice in San Diego.

24. Represented William Steffin as a partner to Squire, Sanders & Dempsey in Los Angeles.
Mr. Steffin (J.D. Hastings 1972) spent his career (29 years) with Lyon & Lyon. He specializes in the intellectual property area with a specialty in patent litigation. ( See Letter )

25. Represented Veronica Gray as a partner to Jackson, DeMarco & Peckenpaugh.
Ms. Gray (J.D. Pepperdine University 1976) a well known Orange County trial lawyer, was formerly a name partner and litigation chair at Resnick & Gray, and before that was managing partner and litigation chair of the Orange County office of Katten, Muchin a (500 lawyer firm based out of Chicago).

26. Represented Joseph Chairez as a partner to Baker & Hostetler in Irvine.
Mr. Chairez, (J.D. USC 1986) also a well-known Orange County trial lawyer, formerly had his own firm and is litigation chair of Baker & Hostetler’s Orange County office.

27. Represented Fred Ufkes as a partner to Kirkpatrick & Lockhart, a Pittsburgh based firm of 500+ lawyers.
Mr. Ufkes (J.D. Washington University 1982) was formerly a partner with Arter & Hadden and has 20 years experience in products liability. Mr. Ufkes chairs K&L’s products liability practice in Los Angeles.

28. Represented George Nowotny, Kathleen Walker as  partners and two associates to Lewis, Brisbois, Bisgaard & Smith.
Mr. Nowotny (J.D. University of Arkansas 1987) formerly chair of the elder abuse group at Bonne, Bridges, Mueller, O’Keefe & Nichols heads up the firmwide elder abuse practice. Ms. Walker (J.D. Southwestern University School of Law 1991) also a Bonne, Bridges partner specializing in medical malpractice and elder abuse team joined Lewis, Brisbois elder abuse team.

29. Represented Charlie Harris as a partner to Lewis Brisbois.
Mr. Harris (J.D. Pepperdine University 1989) was formerly a water polo All American at USC and team member of the USA Team that won the World Championships. Mr. Harris, who is co-managing Lewis, Brisbois Orange County office, specializes in the construction area.

30. Represented Peter A. Davidson and Byron Moldo as partners  to Oppenheimer, Wolff & Donnelly.
Mr. Davidson (UCLA, J.D. 1977, Managing Editor Law Review) and Mr. Moldo (Southwestern, J.D. 1983) are both prominent bankruptcy lawyers in L.A. Mr. Moldo, a U.S. bankruptcy trustee and Mr. Davidson have played a major role in leading Oppenheimer's strategic growth and diversification objectives in California.

31. Represented Timothy B. Bradford as a partner and his medical device group to Crosby, Heafey, Roach & May.
Mr. Bradford (Loyola J.D. 1978) formerly a partner at Haight, Brown & Bonesteel, is a leading products liability specialist with a particular expertise in pharmaceuticals/medical devices litigation. An experienced trial attorney, Mr. Bradford brought a significant amount of the Phen Fen litigation. The group included associates Clare H. Dooley, David E. Stanley and Raymond Williams.

32. Represented Dennis Seley, Claudia Robinson, Robert Shannon as partners and products liability group to Lewis, Brisbois, Bisgaard & Smith.
Mr. Seley (McGeorge J.D. 1974), one of Sacramento’s top products liability trial attorneys brought his 6 lawyer group which formed the core of Lewis, Brisbois's entry into Sacramento. Mr. Seley formerly chaired a firmwide marketing group and was the firm's managing partner in Sacramento for six years. The office now numbers 16 attorneys. ( See Letter ).

33. Represented Roger W. Rosendahl, Robert E. Cambell and Garrison G. DeLee as partners to Baker & McKenzie.
Mr. Rosendahl (Georgetown University J.D. 1969; LL.M., 1971) joined Baker & McKenzie as a partner specializing in complex international corporate transactions. Mr. Rosendahl was formerly a partner with Donovan, Leisure, Newton & Irvine. Also, litigator Robert E. Cambell (Vanderbilt University J.D. 1977; LL.M. Georgetown University 1982) and corporate associate Garrison G. DeLee (U.S.C. M.B.T., J.D., 1984), moved as part of the Rosendahl package.

34. Represented Richard Bane as a partner (and group)  to Lewis, Brisbois, Bisgaard & Smith.
Mr. Bane (Harvard; Boalt Hall J.D. 1981), one of the most prolific rainmakers in San Bernardino and formerly a name partner of Kelly, Herlihy & Bane specialize in bad faith litigation and general insurance. The addition of Mr. Bane and his 4 lawyer group added critical mass to Lewis, Brisbois’s San Bernardino office.

35. Represented Joel Goldman as a partner to McKenna & Cuneo.
Mr. Goldman (U.S.C. 1967), an experienced trial attorney and litigation chair at Stephens, Berg & Lasater previously spent 23 years with Buchalter, Nemer, Fields & Younger. Mr. Goldman is the third partner Esquire successfully represented to McKenna & Cuneo. The placement of Mr. Goldman, the firm's top revenue-producer helped facilitate the merger of Stephens, Berg & Lasater with McKenna & Cuneo.

36. Represented Ralph A. Kerstetter as a partner to Arter & Hadden.
Mr. Kerstetter, (Boalt Hall J.D. 1979) a transactional lawyer has continued his real estate, lease, project finance and secured lender transactional practice. Mr. Kerstetter was a partner for several years with Lillick & McHose and a name partner of a San Francisco law firm. He brought his 3 lawyer real estate group.

37. Represented Ronald K. Alberts as a partner to Berger, Kahn, Shafton, Moss, Simon & Gladstone.
Mr. Alberts (U.C. Davis J.D. 1981), a partner at Frye & Alberts specializes in bad faith litigation, life, health and general insurance law. He moved his 3 lawyer group to the firm. ( See Letter ).

38. Represented Jack I. Samet as a partner to Baker & Hostetler.
Mr. Samet (Harvard University J.D. 1964) was profiled in the California Law Business cover story as "The Last Big Litigator" at Buchalter, Nemer, Fields & Younger (Daily Journal, October 24, 1994). His distinguished trial record includes both preparing and successfully arguing a major case before the U.S. Supreme Court and cases before the Second and Ninth Circuit U.S. Court of Appeals. Mr. Samet was recently elected to the firm's executive committee and is now managing partner of the firm's L.A. office. Previously he was the firm's litigation chair in Los Angeles. ( See Letter ).

39. Represented Roger Heyman as a partner to Wickwire Gavin.
Mr. Heyman (Harvard University J.D. 1969, cum laude and Phi Beta Kappa), an experienced trial attorney, brought 25 years experience in the prosecution and defense of complex and civil litigation, class action defense, corporate litigation, lender liability and construction litigation.

40. Represented James E. Barnett as a partner to Sonnenschein, Nath & Rosenthal.
Mr. Barnett, (Southern Methodist University, J.D. 1966, LL.M. 1972) a tax expert who formerly spent a decade with Cox, Castle & Nicholson as their chief tax attorney, was until recently the chair of Sonnenschein's tax department in Los Angeles.

41. Represented Lisa Hamilton Klein as a partner to Katten, Muchin & Zavis.
Ms. Klein (UCLA J.D. 1984) brought fifteen years experience handling sophisticated mergers, acquisitions and securities transactions to Katten, Muchin & Zavis. Her experience covered initial public offerings of equity and debt, public and private exchange offers, private placements, and international transactions with Fortune 500 clients. ( See Letter ).

42. Represented Allan E. Ceran as a partner to Rodi, Pollock, Pettker, Galbraith & Cahill.
Mr. Ceran (UCLA J.D. 1979, Chief Articles Editor, Law Review) was a partner at Rogers & Wells in Los Angeles. Mr. Ceran, who chairs Rodi, Pollock's litigation group, is an experienced trial attorney specializing in complex business, real estate and employment litigation.

43. Represented Daniel Murphy as a partner to Loeb & Loeb.
Mr. Murphy (Vermont Law School 1981 - #1 in class) was formerly Resident Counsel to Debevoise & Plimpton in Los Angeles and has specialized in securities litigation, accounting malpractice and general litigation. He is an experienced trial attorney and joined Loeb & Loeb as a partner. ( See Letter ).

44. Represented Randall S. Farrimond as a partner to Steinhart & Falconer, LLP.
Mr. Farrimond (Stanford J.D. 1980, Phi Beta Kappa) specializes in the communicators and media, intellectual property and commercial litigation areas. Mr. Farrimond, who spent 17 years with Lillick & Charles and served on the firm's management committee, added horsepower to the media and I.P. practice at Steinhart & Falconer.

45. Represented Kathryn A. Ballsun as a partner to Katten, Muchin & Zavis.
Ms. Ballsun (Loyola Marymount University J.D. 1976), a certified specialist in Estate Planning, Trust and Probate Law, played a key role in expanding Katten, Muchin's practice on the West Coast.

46. Represented Michael E. Silver as a partner to Orrick, Herrington & Sutcliffe.
Mr. Silver (New York University School of Law J.D. 1983) was a senior real estate associate at Dewey Ballantine where he was employed for ten years. He represented Orrick and Dewey Ballantine in several significant financial transactions involving major banks, financial institutions and insurance companies. ( See Letter ).

47. Represented David P. Waite as a partner to Jeffer, Mangels, Butler & Marmaro.
Mr. Waite (Georgetown J.D. 1986), considered one of the up and coming environmental litigation specialists in L.A., had built a significant environmental practice at Richards, Watson & Gershon. Until recently Mr. Waite chaired Jeffer, Mangels' environmental practice. ( See Letter ).

48. Represented Kenneth D. Huston as a partner to Lewis, Brisbois, Bisgaard & Smith.
Mr. Huston (University of San Diego J.D. 1979), a well- known products liability and insurance coverage specialist in San Diego, joined Lewis Brisbois's San Diego office as Of Counsel.

49. Represented Kenneth G. Petrulis as a partner to Bryan Cave.
Mr. Petrulis (University of Illinois J.D. 1973), formerly of Petrulis & Lich, has twenty plus years experience in Estate Planning, Wills & Trusts and Probate Law. He is a past Chair of the Beverly Hills Bar Probate Section, serves on the Board of Governors and is active in other Los Angeles Bar committees. ( See Letter ).

50. Represented Peter Bronson as a partner to Layman, Jones & Dye (prior to Esquire facilitating the merger with Bryan Cave).
Mr. Bronson (UCLA J.D. 1974, Managing Editor Law Review) was formerly a partner with Levy, Small & Lallas, specializing in creditor rights and general civil litigation. Joining the firm as a partner, he is a past chair of the bankruptcy group in Orange County. ( See Letter ).

51. Represented Marshall Mintz as a partner to Marcus, Montgomery, Wolfson & Burten (reconfiguration of Milgrim, Thomajan & Lee).
Mr. Mintz (UCLA J.D. 1971, Senior Articles Editor, Law Review), an experienced trial lawyer and formerly a litigation partner at Keck, Mahin & Cate, was chair of the litigation department in the firm’s L. A. office.

52. Represented Joel P. Kelly as a partner to McKenna & Cuneo.
Mr. Kelly (Georgetown University J.D. 1979), formerly a partner with Jackson, Lewis, Schnitzler & Krupman, chaired McKenna's labor and employment litigation group in Los Angeles. Mr. Kelly, an experienced trial lawyer has practiced extensively before the E.E.O.C., the Calif. Dept. Fair Employment and other agencies. He also successfully argued a landmark case before the Montana Supreme Court in 1989. ( See Letter ).

53. Represented Douglas B. Mishkin as a partner to McKenna & Cuneo.
Mr. Mishkin (George Washington University J.D. 1980), a Washington D.C. trial lawyer specializing in employment litigation and formerly a partner with Melod, Redman & Gartlan, formerly chaired McKenna's employment practice in Washington. ( See Letter ).

54. Represented Robert Schulman as a partner to Crosby, Heafey, Roach & May.
Mr. Schulman (Rutgers University J.D. 1966), an experienced trial lawyer and formerly a name partner with Stephens, Berg, Lasater, Schulman & Rogers joined Crosby as a partner. Mr. Schulman was elected to the firm's executive committee and has been consistently ranked by the Daily Journal in the $5M club. (Revenue generation per year). ( See Letter ).

55. Represented Hugh Biele as a partner to Grace, Skocypec, Cosgrove & Schirm.
Mr. Biele (University of Utah J.D. 1968), a bankruptcy specialist and formerly Of Counsel to Barton, Klugman & Oetting, joined the firm as a partner and until recently headed their bankruptcy practice group in Los Angeles. ( See Letter ).

56. Represented Ralph Scalzo as a partner to Grace, Skocypec, Cosgrove & Schirm.
Mr. Scalzo (University of Southern California J.D. 1966), a specialist in the labor and employment law field and formerly a senior partner with the labor firm McLaughlin & Irvin, joined Grace as a partner where he formerly chaired the labor group.

57. Represented partners Laura Knox, Michael Lodwick and Frank Brucculeri to Lewis, Brisbois, Bisgaard & Smith’s Orange County office.
The three partners specialize in admiralty law, insurance coverage and business litigation. Mr. Lodwick chairs the admiralty practice at Lewis, Brisbois.

58. Represented Erisa specialist Bruce Baldwin as a partner to Lewis, Brisbois, Bisgaard & Smith.
Mr. Baldwin who heads the employment benefits group, previously spent most of his career with Steptoe & Johnson and Pillsbury Winthrop.
